Contracts play a vital role in project management. They are legally binding devices which, if properly drafted, define the scope of the work, the parties’ roles and responsibilities, and mitigate and allocate losses.
Some important contract provisions to be mindful of when negotiating a contract include: payments, change orders, liquidated damages, force majeure, indemnification, termination, and dispute resolution.
In addition, because of the current worldwide pandemic related to COVID-19, it is important to understand how the doctrines of impossibility of performance and frustration of purpose may affect contractual obligations.
This presentation will provide a foundation of important contract provisions to consider to ensure project success and minimize potential conflict.
